The Responsibilities of A Board of Directors Under Self Management

The Board of Directors will be responsible for the following under self management:

A) SCACAI Goal

Through common sense governance, and reasonable rules, to provide the care and maintenance of our facilities within annual budget guidelines. Additionally to encourage and facilitate our active lifestyle whether you are a new or longtime resident.

B) SCACAI Objectives

Accomplish the day to day management of our association operations through our management team.

With the assistance of standing committees, i.e. Architectural Review, Covenants,Lifestyle, Property and Grounds and Finance, etc. the Board of Directors will have a reduced work load.

Complete all maintenance and repairs as scheduled each year, set forth during the budget process.

C) Oversight

Through timely reports from the General Manager, the Board of Directors will monitor the progress of the management team, to meet the annual objectives.

The Board of Directors can monitor the interaction between the General Manager and residents during question and answer periods at monthly board meetings.

This paper goes along with my belief of "keep it simple."

I hope this helps explains my vision for future governance by our Board of Directors.

My name is Barry Goldstein, a fully qualified candidate for the Sun City Anthem Board of Directors.

We have all worked hard to get to this point in life, and it seems we all want the same things, a comfortable retirement, active lifestyle, and peaceful enjoyment. Now it seems every week we are receiving disturbing news about something in our community. Have  mistakes been made, yes. We need to change the way certain things have been done in the past, to be able to solve these issues moving forward.

By voting in my favor your board will receive the benefits of:
  • Over twenty five years advising corporate clients how to keep their employee benefit costs under control; a vital experience as Sun City Anthem becomes a direct employer.
  • Over twenty five years as a financial consultant, advising corporations and individuals how to increase returns on retirement plans, while keeping expenses low; and this knowledge is needed for Sun City Anthem’s residents investment in their Association.
  • Over twenty five years of fiduciary duty for client assets. I fully understand that anyone given this privilege has an obligation to put others needs above his own. That is the standard I will demand as a member of your board. Before I sign any contract as a director I will verify “ this deal benefits association members above all outside consideration.”
  • Two years on the SCA finance committee where we uncovered wasteful spending of association money will end when you elect me. I am not in favor of subsidizing a for profit restaurant. Period. Other options are available.

I believe our board of directors meeting should be held at night so our members won’t have to choose from going to a club, an activity, or work to attend a meeting. In addition, all community members should be give the chance to ask questions at the board meetings and are owed the respect of getting an answer when possible. Homeowner voices must be heard in the quest for good governance. When elected I will push for this change.

To effect these much needed improvements, I need your vote. Make your voice be heard. Make your vote count in this election. A vote which will keep your assessments down.

Position Paper Number 4; The Restaurant


Let me start by saying I am not in favor of subsidizing a for profit entity. I believe there are a number of other options available to the association. Here is the role I believe the board should play, regarding the restaurant, as we transition to self management.

The board should be setting the goal, as an example: “To have a food service venue operational as of January 01, 2017.” Then the board sets the objectives. An example: “The general manager shall determine the methodology to explore all food service options available to the association.” This methodology should include but not be limited to, determining the type of food served, the days and hours of operation, etc. If the general manager determines a subsidy from the association is necessary, then that subsidy would need to be within the budget guidelines for the calendar year.

The board then would get periodic reports as to the progress of the general manager achieving the objectives that would lead to the ultimate goal. The general manager would make its recommendation to the board on what food service would best serve the association. At that point the board would have a say as to the choice. It is my position the board should have no involvement in the search of the proper food vender.

Position Paper 3; Communication Between The Board of Directors & Association Members

My 3rd position paper is about communication between the Board of Directors and Association members. I believe we must completely change the way our Board of Directors meetings are held.

First, if the agenda for a board meeting is broadcast to members 2 weeks in advance for review, we can do away with the agenda review meeting. Second, association members should not have to choose between going to club activities or a board meeting. Association members that work should also be able to attend meetings without taking off from their job. This means that all Board of Directors meetings should be held at NIGHT! I am sure we can determine what night of the week has the fewest club activities.

At the Board of Directors meeting, Association members should be allotted time to ask questions and receive answers regarding association issues. If a member is given 2 minutes to speak, I believe board members be given the same time limit. A board member can get an additional 2 minutes if another director yields their time to the director. It is my opinion that this would result in a positive change to the relationship between the Board Of Directors and members. The attitude of not answering member questions at board meetings must end.

Position Paper 2; Fiduciary Duty & Responsibility

The following is my position on Fiduciary Duty/Responsibility.

A fiduciary is an individual whom another has placed the utmost trust and confidence to manage and protect property or money. This is a relationship wherein one person has an obligation to act for another's benefit. It is established when the confidence given by one person is actually accepted by the other person. There are a number of training courses offered by the Ombudsman, at no cost, oriented toward board members.

They are the following:
  • HOA ethics
  • New Board Member
  • Board Responsibilities
  • Hiring Experts
  • Bringing Harmony to the Association
  • Meetings
  • Reserve Study
  • Violations
  • Elections


In my opinion, it should be mandatory for board members to take at least one of these courses a month until all are completed. There should be ample time available for this as we go to
self-management as board members give up day to day duties to our new General Manager, Sandy Seddon, in managing those aspects of our association.

Elect Fiduciary Responsibility




Sun City Anthem residents have conveyed to me that they want Board members who understand that the Board’s Fiduciary  Responsibility is to the entire Association membership. The residents want Board members that make financial decisions free from the influences of outside vendors. The SCA residents repeatedly request there be better communication from Board members, including comprehensive answers to questions presented at Board meetings. As a candidate for the Board I meet all of those expectations.

Proposed Governance Changes Under Self Management



Our community is about to embark on a completely new method of managing our association day to day operations.

It is my humble opinion that we, the members of our association, must move past our history of trying to blame someone for past mistakes; that, in order to be successful in self management, we all must turn that page of past disappointments to a future of positive accomplishments. Here is my road to make this happen:

I believe in the KISS system (keep it simple, stupid). The current members of the Board of Directors not up for election must be able to give up all remnants of absolute power that was created by the Board Policy Manual. The job of the Board of Directors under Governance would be to set the Goals, Objectives, and Budget constraints of the General Manager. Their responsibility thereafter, should be monitoring the success or inability of the General Manager to meet the tasks put forth by the Board , paying close attention to fulfilling their FIDUCIARY RESPONSIBILITIES to our association members.

The General Manager would have total control of daily day to day operations in order to meet the Board approved mandates. The standing committees would be used by the General Manager to ensure successfully following the rules of NRS 116,etc. and the association CC&R's. This is an important step as the short period of time the General Manager has been in our community, she would need some guidance with these rules and regulations.

In establishing these guidelines, one must always remember that "absolute power corrupts". I cannot stress enough my firm belief that seeking election to our Board must encompass an individual's full understanding of the words "FIDUCIARY RESPONSIBILITY". We also elect individuals who have the personality and common sense to allow the  association General Manager do her job. As a member of the finance committee, I experienced the effect of absolute power of the current Board of Directors. Their insistence in maintaining that attitude of control, which they exercise over the community;  will, in my opinion, not work effectively under self management.

I thought Jim Mayfield did an efficient job of presenting his vision of future management, but answers to questions and proper clarification must be forthcoming in order for our association to fully comprehend the affects of the suggested changes prior to implementation.
